COI edit request: Company business description

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change:

1. Location

Infobox, Industry

2. Current text Cryptocurrency mining 3. Requested action

Replace.

4. Exact proposed wording Digital infrastructure 5. Explanation

“Cryptocurrency mining” no longer accurately describes the company as a whole. TeraWulf reports two business segments, Digital Asset Mining and HPC Leasing. HPC leasing became a separate reportable segment in the third quarter of 2025 and represented 62% of first-quarter 2026 revenue. The broader, neutral classification “digital infrastructure” captures both activities without pretending the bitcoin operation vanished overnight.

COI edit request: Founded date

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1. Location

Infobox, Founded

2. Current text January 2021 3. Requested action

Correct the month.

4. Exact proposed wording February 2021 5. Explanation

TeraWulf’s SEC filings state that the company was founded in February 2021. The January date appears to come from an incorporation record or an earlier entity date, but “founded” should match the company’s own consistently reported corporate history.

Requested change

1. Location

Infobox, Key people

2. Current text Paul Prager, chairman and CEO

Nazar Khan, COO

3. Requested action

Correct current executive titles and add the current COO.

4. Exact proposed wording Paul B. Prager, chairman and chief executive officer

Nazar M. Khan, chief technology officer
Sean Farrell, chief operating officer

5. Explanation

Nazar Khan no longer serves as COO. He is TeraWulf’s co-founder, chief technology officer, and a director. Sean Farrell is the company’s current chief operating officer. An encyclopedia should not preserve an obsolete management structure simply because nobody revisited the infobox.

Requested change

2. Current text Bitcoin mining 3. Requested action

Expand to reflect both reportable businesses.

4. Exact proposed wording High-performance computing data-center leasing and colocation; digital asset mining 5. Explanation

The existing wording excludes TeraWulf’s HPC leasing business, which began generating revenue in July 2025 and became the company’s larger revenue contributor during the first quarter of 2026.

COI edit request: Entire opening paragraph

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1. Location

Lead, first and currently only paragraph.

2. Current text TeraWulf Inc. is an American bitcoin mining company. Founded in 2021 and publicly listed on Nasdaq under the ticker WULF, it operates mining facilities in New York and Pennsylvania. 3. Requested action

Replace the entire paragraph.

4. Exact proposed wording TeraWulf Inc. is an American digital infrastructure company that develops, owns and operates data centers for high-performance computing and artificial intelligence workloads and digital asset mining. Founded in 2021, the company is listed on the Nasdaq Capital Market under the ticker symbol WULF. Its operating and development portfolio includes projects in New York, Kentucky and Maryland. 5. Explanation

The current lead contains two material problems:

It identifies TeraWulf exclusively as a bitcoin miner despite its reported HPC Leasing segment and the fact that HPC leasing represented 62% of first-quarter 2026 revenue. It says the company currently operates mining facilities in Pennsylvania. TeraWulf sold its 25% interest in the Nautilus Cryptomine facility to an affiliate of Talen Energy in October 2024. Its current Pennsylvania exposure should therefore be described historically, not presented as an existing operation. “Digital infrastructure company” is a broader and more durable classification. The proposed wording also retains bitcoin mining rather than erasing it, which matters for neutrality and historical accuracy. 6. COI edit request: Founding date, founders and leadership

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1. Location

History, first sentence.

2. Current text TeraWulf Inc. was incorporated in January 2021 by Paul Prager and Nazar Khan, both of whom have backgrounds in the energy sector through Prager's private firm, Beowulf Energy LLC. Paul Prager serves as chairman and CEO, and Nazar Khan as COO. 3. Requested action

Correct the date, remove possessive framing that inaccurately reduces Beowulf to “Prager’s private firm,” and update current roles.

4. Exact proposed wording TeraWulf was founded in February 2021 by Paul Prager and Nazar Khan, who had previously worked together at Beowulf Energy. Prager serves as chairman and chief executive officer, while Khan serves as chief technology officer and a director of TeraWulf. Sean Farrell serves as chief operating officer. 5. Explanation

The proposed version fixes three issues:

February 2021 is the company’s reported founding date. Both founders had extensive Beowulf Energy backgrounds. Calling it merely “Prager’s private firm” is technically incomplete and editorially loaded. Khan is CTO, not COO, and the current COO is Sean Farrell. 6. COI edit request: History, sentence following the founders

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1. Location

History, sentence following the founders.

2. Current text The company was established to develop and operate data center infrastructure for Bitcoin mining.[citation needed] 3. Requested action

Retain the historical point, tighten the wording, and add an SEC source.

4. Exact proposed wording The company was initially formed to develop and operate large-scale bitcoin-mining facilities, but has since transitioned into a high-performance computing data-center leasing and colocation business. 5. Explanation

This is a fair description of TeraWulf’s original business, provided it is explicitly framed as the company’s initial purpose rather than its complete current identity. The sentence can be sourced to the company’s early SEC filings, eliminating the citation-needed tag.

6. Source(s) TeraWulf SEC filing describing its original business. https://investors.terawulf.com/sec-filings/annual-reports/content/0001104659-22-041168/0001104659-22-041168.pdf Independent reporting on the transition toward AI infrastructure. https://www.investopedia.com/bitcoin-miners-that-got-into-ai-have-soaring-stocks-these-experts-see-more-gains-ahead-11974824?utm MediaWULF (talk) 17:26, 31 July 2026 (UTC)Reply

COI edit request: Generic bitcoin-mining explanation

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1. Location

History, immediately after the original-purpose sentence.

2. Current text TeraWulf is involved in constructing and operating large-scale data centers equipped with computers (miners) that solve complex mathematical problems to validate transactions on the Bitcoin network and earn new Bitcoin as a reward. 3. Requested action

Delete in full.

4. Exact proposed wording None. Delete the sentence. 5. Explanation

This is generic background about proof-of-work mining, not meaningful TeraWulf corporate history. It is also imprecise. Bitcoin miners compete to find a valid hash for a block; describing this as “solving complex mathematical problems” is the familiar simplified formulation that manages to be both wordy and not especially accurate.

The term bitcoin mining can simply be wikilinked. Wikipedia already has an article explaining the process. 6. Source(s)

No replacement source is required because deletion is recommended. MediaWULF (talk) 17:32, 31 July 2026 (UTC)Reply

COI edit request: New York and Pennsylvania facilities

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1. Location

History, sentence beginning “These mining facilities…”

2. Current text These mining facilities are in New York and Pennsylvania, including the Lake Mariner site, with a focus on scaling its computational capacity and energy infrastructure. 3. Requested action

Replace with a dated operating-history description.

4. Exact proposed wording TeraWulf began bitcoin-mining operations at its Lake Mariner facility in Barker, New York, in March 2022. The company also held a 25% interest in the Nautilus Cryptomine facility in Pennsylvania, which it sold to an affiliate of Talen Energy in October 2024. 5. Explanation

The current text treats Pennsylvania as a current operation and gives no chronology. TeraWulf’s Pennsylvania presence was a minority joint-venture interest, not a wholly owned operating facility, and that interest was sold in October 2024.

6. Source(s) TeraWulf first-quarter 2026 Form 10-Q regarding Lake Mariner’s operating history. https://investors.terawulf.com/sec-filings/all-sec-filings/content/0001083301-26-000092/wulf-20260331.htm Nautilus sale disclosures. https://investors.terawulf.com/news-events/press-releases/detail/86/terawulf-monetizes-equity-interests-in-nautilus-joint-venture-to-fuel-expansion-of-hpcai-and-bitcoin-mining-at-flagship-lake-mariner-facility MediaWULF (talk) 17:34, 31 July 2026 (UTC)Reply

COI edit request: IKONICS and the “SPAC” error

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1. Location

History, second paragraph, first sentence.

2. Current text In December 2021, TeraWulf became publicly traded on the Nasdaq under the ticker symbol WULF through a reverse merger with Ikonics Corporation, a special purpose acquisition company. 3. Requested action

Correct the characterization of IKONICS and use the transaction language reflected in the SEC filings.

4. Exact proposed wording In December 2021, TeraWulf completed a business combination with IKONICS Corporation, an operating imaging-technology company. Shares of the combined company began trading on Nasdaq under the ticker symbol WULF on December 14, 2021. 5. Explanation

IKONICS was not a SPAC. It was a publicly traded operating company engaged in imaging technologies. The transaction may colloquially be described as a reverse merger because legacy TeraWulf holders controlled approximately 98% of the combined company, but “business combination” is the precise, filing-supported formulation and avoids another tedious fight over labels.

COI edit request: General capital-raise sentence

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1. Location History, sentence following the public-listing description.

2. Current text Following its public listing, the company pursued expansion through a series of capital raises, including the issuance of convertible debt, preferred stock, and at-the-market (ATM) offerings of common stock.[citation needed]

3. Requested action Delete.

4. Exact proposed wording None. Delete the sentence.

5. Explanation The statement is broadly true but not encyclopedically distinctive. Most development-stage public infrastructure companies use combinations of equity, debt, convertibles, and ATM programs. The sentence lacks a citation and provides no meaningful context about scale, purpose, consequence, or independent coverage.

If retained, it would need a tightly sourced summary explaining why the financing history was independently notable. Otherwise it is securities-filing inventory masquerading as corporate history.

6. Source(s) No replacement source recommended. MediaWULF (talk) 18:53, 31 July 2026 (UTC)Reply

COI edit request: Yorkville standby equity agreement

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1. Location

History, full paragraph beginning “In June 2022…”

2. Current text In June 2022, TeraWulf entered into a standby equity purchase agreement with an affiliate of Yorkville Advisors, allowing the company to sell up to $50 million of its common stock over time. The proceeds from these financings were used to support the development of its mining facilities and the acquisition of mining equipment. 3. Requested action

Delete the paragraph.

4. Exact proposed wording None. Delete the paragraph. 5. Explanation

The agreement can be verified in an SEC filing, but the article offers no independent source showing that this particular financing was a defining event in TeraWulf’s history. Its inclusion is especially disproportionate when the article omits the company’s entire 2024–2026 transition into HPC leasing.

This is a due-weight problem: a routine financing receives a dedicated paragraph while a new business segment representing most quarterly revenue receives none. 6. Source(s) Wikipedia’s due-weight standard requires coverage to reflect the prominence of a topic in reliable published sources. https://en.wikipedia.org/wiki/Wikipedia%3ANeutral_point_of_view MediaWULF (talk) 19:11, 31 July 2026 (UTC)Reply

COI edit request: Add a paragraph covering the HPC transition

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1. Location

History, after the Nautilus sale and before the 2026 site acquisitions.

2. Current text

No corresponding text.

3. Requested action

Add a new paragraph.

4. Exact proposed wording In 2024, TeraWulf launched WULF Compute and began converting portions of the Lake Mariner campus for high-performance computing hosting. The company entered its first long-term data-center leases in December 2024 and began recognizing HPC leasing revenue in July 2025. HPC Leasing became a separate reportable segment in the third quarter of 2025 and accounted for 62% of TeraWulf’s revenue in the first quarter of 2026. 5. Explanation

This is a very important missing section in the article. It explains how TeraWulf evolved from a pure-play bitcoin miner into a company with two reportable segments and an increasingly HPC-centered business.

The wording avoids promotional conclusions. It uses dated, measurable developments: WULF Compute launch. First long-term leases. Commencement of HPC revenue. Separate segment reporting. Revenue contribution. Independent reporting has also characterized TeraWulf as one of the former bitcoin miners shifting toward AI-oriented data-center infrastructure. 6. COI edit request: Add current Lake Mariner operating context

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1. Location

History or a new Operations section, following the HPC-transition paragraph.

2. Current text

No current operating-capacity description.

3. Requested action

Add concise operating context.

4. Exact proposed wording

As of March 31, 2026, Lake Mariner included approximately 145 MW of bitcoin-mining capacity and 60 MW of operational critical IT capacity for HPC workloads. TeraWulf had contracted approximately 438 MW of critical IT capacity for HPC tenants at the campus, with additional buildings under development.

5. Explanation

The current article says only that Lake Mariner is a mining facility. The proposed sentence provides a dated snapshot showing the coexistence of bitcoin mining and HPC infrastructure.

The date is important. Capacity changes rapidly, and undated figures have a regrettable tendency to fossilize into permanent truth on Wikipedia.

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1. Location

History, first paragraph, sentence beginning “In February 2026…”

2. Current text

In February 2026, TeraWulf Inc., announced it will purchase and redevelop the former Century Aluminum Company's smelter site, in Hawesville, Kentucky, with more than 250 buildable acres, into a digital infrastructure campus supporting high-performance computing and artificial intelligence workloads. Century Aluminum will retain a non-controlling minority equity stake in the development.

3. Requested action

Correct grammar, update the transaction from prospective to completed, name the campus, and specify the retained interest.

4. Exact proposed wording

In February 2026, a TeraWulf affiliate acquired the former Century Aluminum smelter site in Hawesville, Kentucky, for redevelopment as the Justified Data Campus, a planned high-performance computing and artificial intelligence data-center campus. Century Aluminum retained a 6.8% non-controlling interest in the development entity.

5. Explanation

The current text says the company “announced it will purchase” the property, even though the acquisition was completed. It also contains several stray commas.

The proposed version:

  • Uses completed-transaction language.
  • Identifies the project by name.
  • Replaces the vague “minority equity stake” with the disclosed 6.8% interest.
  • Avoids treating planned capacity as operational capacity.

COI edit request: Maryland project

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly. Requested change

1. Location

History, sentence immediately following the Hawesville description.

2. Current text

A second site was purchased in Morgantown, Maryland.

3. Requested action

Replace. The current sentence is both geographically and transactionally misleading.

4. Exact proposed wording

Also in February 2026, TeraWulf announced an agreement to acquire the Morgantown Generating Station in Charles County, Maryland, for a proposed power and data-center campus. The Federal Energy Regulatory Commission approved the ownership transfer in July 2026; separate approvals would still be required for future data-center construction or changes to generation and interconnection rights.

5. Explanation

“Morgantown” is the name of the generating station and surrounding area, not a Maryland municipality that should be presented like the company bought a conventional data-center site in a town.

The current text also collapses several distinct steps:

  • An agreement to acquire the generating station.
  • Federal approval of the ownership transfer.
  • Future approvals needed for data-center construction, generation changes, or interconnection modifications.

The FERC order concerns the ownership transfer. It does not itself authorize every contemplated element of the proposed campus.

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1. Location

History, after the Maryland paragraph.

2. Current text

No corresponding text.

3. Requested action

Add.

4. Exact proposed wording

In May 2026, TeraWulf acquired a development site in eastern Kentucky for the planned Muskie Data Campus, which the company said could support more than 1 GW of data-center capacity.

5. Explanation

Muskie is part of TeraWulf’s current development portfolio and should be included if the article describes the company’s 2026 geographic expansion.

The projected capacity should remain expressly attributed to the company because it is a development estimate, not an existing operating figure.

COI edit request: Anthropic lease

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1. Location

History, July 2026 paragraph.

2. Current text

In July 2026, TeraWulf announced Anthropic the California-based artificial intelligence company known for its Claude platform, signed a 20-year lease for a data center in development, in a campus called, Justified Data, in Hawesville, Kentucky. The lease is expected to generate approximately $19 billion of contracted revenue over the initial lease term.

3. Requested action

Replace in full.

4. Exact proposed wording

In July 2026, artificial intelligence company Anthropic signed a 20-year lease for approximately 401 MW of critical IT capacity at the Justified Data Campus. TeraWulf said the lease was expected to generate approximately $19 billion in contracted revenue over its initial term, with phased capacity delivery scheduled from late 2027 through early 2028.

5. Explanation

The current wording has grammatical problems and omits the central operating terms.

The proposed version:

  • Identifies Anthropic neutrally.
  • Adds the approximately 401 MW capacity.
  • Attributes the $19 billion figure to TeraWulf because it is a company estimate based on contractual assumptions and annual escalators.
  • Adds the disclosed delivery schedule.
  • Removes “known for its Claude platform,” which is not necessary to understand the transaction

Requested change

1. Location

2. Current text

3. Requested action

4. Exact proposed wording

On the same day, TeraWulf announced an agreement to sell its 50.1% interest in the Abernathy data-center joint venture in Texas to an investor group led by Fluidstack for aggregate consideration of approximately $530 million, payable in installments.

5. Explanation

The Anthropic lease and Abernathy sale were announced together and represented complementary strategic actions: one added a major long-term lease at a controlled development site, while the other monetized a majority joint-venture interest.

The proposed language stays close to disclosed facts and does not repeat any promotional capital-allocation framing.

Wiki markup:

5. Explanation

“Controversies and allegations” is an indiscriminate criticism container. Wikipedia discourages criticism sections that segregate all unfavorable content and then allow it to expand beyond its proportionate importance.

The factual existence of related-party agreements is supportable from SEC filings. “Self-dealing,” “greenwashing,” and implied stock-promotion ties are disputed characterizations that require strong independent sourcing and careful attribution.

2. Current text

"Zero-carbon" and greenwashing allegations

3. Requested action

Delete the heading and existing subsection.

4. Exact proposed wording

None. Delete the subsection unless reliable independent secondary coverage is provided.

5. Explanation

The term “greenwashing” is a conclusion, not a neutral topic label. The subsection relies principally on Hunterbrook, whose affiliated fund disclosed a short position or other financial interest expected to benefit from a decline in TeraWulf’s shares.

A financially interested activist report may be relevant as an attributed viewpoint, but it is not adequate as the sole or principal source for an encyclopedia to characterize a company’s disclosures as greenwashing.

The law-firm alert cited elsewhere is not independent confirmation. It is a shareholder-solicitation notice substantially based on the same report.

Requested change

1. Location

2. Current text

One of TeraWulf's principal pillars to investors is its claim to be a "zero-carbon Bitcoin miner". In August 2024, an investigative report by Hunterbrook Media challenged these claims. 3. Requested action

4. Exact proposed wording

None. Delete the paragraph.

5. Explanation

Problems include:

  • “Principal pillars to investors” is interpretive and unsourced.
  • The quotation is presented without dates or context showing when and how the phrase was used.
  • The legal assertion about what TeraWulf could “legally substantiate” is derived from a financially interested publisher, not a regulatory finding, court decision, or neutral legal analysis.
  • No meaningful company response is included.
  • No established regulator or independent mainstream publication is cited as confirming the alleged violation.

A neutral article could potentially summarize independently reported scrutiny over historical environmental marketing. The current sources do not support this wording.

COI edit request: Beowulf/Hardin/Marathon paragraph

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1. Location

Second paragraph under the zero-carbon heading.

2. Current text

Prager's energy company, Beowulf Energy LLC, has a history in fossil fuels. In 2020, it revived a struggling coal plant in Hardin, Montana, to provide power for a Bitcoin mining operation for Marathon Digital Holdings. This project was cited by Hunterbrook as contradicting TeraWulf's narrative of a pure "zero-carbon" heritage.

3. Requested action

Delete in full.

4. Exact proposed wording

None. Delete the paragraph.

5. Explanation

TeraWulf did not exist in 2020. It was founded in February 2021.

The paragraph uses activities involving Beowulf and Marathon to imply a contradiction in TeraWulf’s corporate identity. Without reliable independent sources establishing that the prior project is directly material to TeraWulf, this is guilt by association.

It also attributes a “pure zero-carbon heritage” narrative without establishing that TeraWulf itself used that precise concept. Wikipedia explicitly cautions against criticism constructed through associations with other people or organizations.

COI edit request: Loaded “self-dealing” heading

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1. Location

Subheading.

2. Current text

Related-party transactions and self-dealing

3. Requested action

Remove “and self-dealing.”

4. Exact proposed wording

Related-party transactions

5. Explanation

“Related-party transaction” is a defined and disclosed accounting and governance category. “Self-dealing” is an allegation of improper conduct. The current sources do not establish a regulatory finding, judicial determination, or independently reported conclusion that the arrangements constituted self-dealing.

A neutral heading should describe the subject, not decide the case before the reader reaches the first sentence.

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1) Location

First paragraph under “Related-party transactions and self-dealing.”

2) Current text

TeraWulf has faced scrutiny for its financial transactions with entities linked to its CEO, Paul Prager, with critical reports from firms like Grizzly Research alleging these dealings have transferred value from shareholders to corporate insiders. Beowulf E&D, a company owned by Prager, entered into a multi-year "Administrative and Infrastructure Services Agreement" with Terawulf, under which Beowulf provides a wide range of services, including construction, engineering, operations, maintenance, and corporate functions.

3) Requested action

Replace with a factual, dated description of the agreement.

4) Exact proposed wording

From April 2021 until May 2025, TeraWulf obtained construction, engineering, operations, maintenance and corporate-support services from Beowulf E&D, an entity controlled by chief executive officer Paul Prager. TeraWulf disclosed the arrangement as a related-party transaction.

5) Explanation

The current opening gives Grizzly’s allegation pride of place and states its theory before explaining the underlying arrangement.

The proposed wording establishes:

·      What the agreement covered.

·      The relationship between the parties.

·      The period during which it operated.

·      How TeraWulf classified it in its financial disclosures.

It removes the uncorroborated “transferred value from shareholders to insiders” framing while preserving the related-party nature of the arrangement.

COI edit request: 2023 payments and “38%” calculation

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1) Location

Final two sentences of the related-party paragraph.

2) Current text

In 2023 alone, TeraWulf paid $20.3 million in management and service fees to Beowulf E&D. This accounted for approximately 38% of TeraWulf's total operating and administrative expenses that year.

3) Requested action

Replace with the amounts and classifications reported in the SEC filing. Remove the 38% calculation.

4) Exact proposed wording

In 2023, TeraWulf paid Beowulf E&D approximately $20.3 million under the services agreement, including pass-through payments related to construction contracts at Lake Mariner. TeraWulf recorded approximately $13.3 million of related-party selling, general and administrative expense and $1.5 million of related-party operating expense associated with the agreement during the year.

5) Explanation

The $20.3 million payment figure is disclosed, but the current article labels the entire amount “management and service fees.” The filing explains that the total also included payments connected with construction agreements.

The 38% figure is an external calculation from Hunterbrook, not a figure presented by TeraWulf’s auditor or SEC filing. It appears to compare unlike categories and may include capitalized or pass-through construction amounts in the numerator while using selected operating-expense categories in the denominator.

Using the reported accounting classifications is more precise and less interpretive.

COI edit request: Add the 2025 Beowulf E&D acquisition and agreement termination

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1) Location

Immediately after the revised 2023-payment paragraph.

2) Current text

No corresponding text.

3) Requested action

Add the subsequent development so the section does not stop in 2023.

4) Exact proposed wording

In May 2025, TeraWulf acquired the operating subsidiaries of Beowulf E&D for consideration valued at approximately $52.4 million, after which the services agreement was terminated and 94 Beowulf employees transitioned to TeraWulf. The transaction was negotiated and approved by a special committee of independent directors, which retained independent legal counsel and obtained a fairness opinion.

5) Explanation

The current article freezes the arrangement at its most criticism-friendly point and omits what happened next.

The 2025 acquisition is material because it:

·      Ended the external services agreement.

·      Brought the operating functions and personnel into TeraWulf.

·      Was itself a related-party transaction.

·      Was reviewed through an independent special-committee process.

Neutrality requires both the related-party nature of the transaction and the disclosed governance process to be stated.

COI edit request: Lease relationship and 2022 amendment

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1) Location

First two sentences under “Lake Mariner Lease.”

2) Current text

TeraWulf leases the land for its flagship Lake Mariner facility from Somerset Operating Company LLC, another entity 99.9% owned by Prager. In addition to rent, TeraWulf issued 8.5 million shares to this entity in 2022 as part of a lease amendment—a payment valued at the time at $11.5 million, which critics argued was vastly disproportionate to the original lease terms.

3) Requested action

Replace with a dated summary of the 2022 amendment and the subsequently replaced lease.

4) Exact proposed wording

TeraWulf leases the Lake Mariner site from Somerset Operating Company, an entity controlled by Prager. In September 2022, TeraWulf issued 8,510,638 shares in connection with an amendment to the original lease; the shares were valued at approximately $11.5 million when issued.

5) Explanation

The factual relationship, number of shares, and accounting value can remain.

The phrase “vastly disproportionate” comes from a critical publisher’s characterization and is not independently established. It should be removed unless a reliable secondary source provides a substantive valuation analysis and the company’s response is also represented.

“Entity controlled by Prager” is sufficient and less needlessly theatrical than repeating a 99.9% ownership percentage every time the relationship appears.

COI edit request: Add the 2024 replacement lease

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1) Location

Immediately after the revised 2022 lease sentence.

2) Current text

No corresponding text.

3) Requested action

Add.

4) Exact proposed wording

In October 2024, the parties replaced the original lease with a 35-year ground lease covering approximately 157 acres. In connection with terminating the prior lease and entering the new agreement, TeraWulf issued 20 million shares and paid $12 million in cash. The agreement was negotiated and approved by the board’s independent Audit Committee, which retained independent legal counsel and received a fairness opinion.

5) Explanation

The current section discusses a 2022 amendment but omits the subsequent agreement that replaced the original lease.

The proposed language includes:

·      The 35-year term.

·      Approximate acreage.

·      Consideration.

·      Independent committee process.

That is the complete transaction picture, rather than selectively preserving the oldest criticism.

COI edit request: Entire subsection

[edit]

Disclosure: I am an employee of TeraWulf Inc. and am submitting this request as part of my work for the company. I have a paid-contribution disclosure on my Wikipedia user page and will not make the requested changes directly.

Requested change

1) Location

Subsection heading and all three paragraphs beneath it.

2) Current text

Ties to Past Stock Promotion Scandals

TeraWulf's second-largest shareholder was reportedly an entity controlled by Bryan Pascual, who was implicated in helping Riot Blockchain's management hide related-party transactions in 2018. Its third-largest shareholder was an entity controlled by the wife of John O'Rourke, the former CEO of Riot Blockchain, who was charged by the SEC for his role in a $27 million market manipulation scheme.

John O'Rourke has been reported to have deep ties with stock promoter Barry Honig, who was subsequently barred by the SEC from participating in penny stock offerings. O'Rourke was reportedly instrumental in arranging several of TeraWulf's early financings.

3) Requested action

Delete the subsection in full.

4) Exact proposed wording

None. Delete the heading and all associated paragraphs.

5) Explanation

TeraWulf did not exist in 2018. The company was founded in February 2021. Events involving Riot Blockchain personnel in 2018 are not part of TeraWulf’s corporate history merely because people or entities later held TeraWulf shares.

The ownership statements are stale and point-in-time. Phrases such as “second-largest shareholder” and “third-largest shareholder” require a precise measurement date and reliable ownership data. Public-company rankings change as shares are issued, sold, transferred, or beneficial-ownership thresholds are crossed.

The section relies overwhelmingly on an activist short report. The principal source is Grizzly Research, whose report is an investment thesis, not an independent regulatory or judicial finding.

It is guilt by association. The structure is essentially:

·      Person A allegedly knew Person B.

·      Person B had ties to Person C.

·      An entity related to Person A once owned TeraWulf shares.

·      Therefore this belongs in TeraWulf’s encyclopedia article.

That chain does not establish misconduct by TeraWulf.

It raises living-person sourcing concerns. The subsection makes serious claims about identifiable individuals using a self-published financial report as the primary source. Wikipedia’s biographies-of-living-persons rules apply throughout the encyclopedia, not only in articles whose titles are people’s names. Self-published sources should not be used for contentious claims about living persons.
