History
[edit]Tips grew from a Lamington Road record dealership in 1975 into a listed music company, and split off its film arm in 2022. [2] [3]
Origins (1975–1988)
[edit]In 1975 the Taurani brothers traded LP records for HMV, Music India and CBS from a small shop on Lamington Road, Bombay's music wholesale hub. By 1977 they were the largest dealers for these labels in Western India. [4] The family also ran a trading business, Jaihind Electronics, and in the early 1980s formed a partnership, RK Electronics, that planned album releases using outside manufacturers. [3]
Cassette era and listing (1988–2000)
[edit]Tips Cassettes & Records Co was registered as a partnership in 1988; its first major Bollywood release was Patthar Ke Phool. It opened a cassette plant at Palghar in 1990 and a second at Silvassa in 1997. [1] [3] The firm became Tips Industries in 1996 and a public company on 1 July 1999. [1] Its public issue offered 30 lakh shares at ₹325 each (₹10 face value plus ₹315 premium), about ₹97.5 crore, to fund a studio, a CD plant and cassette expansion. [3]
Film production and demerger (1996–2022)
[edit]Tips began producing films in the 1990s, starting with titles such as Auzaar and Soldier, and later backed hits including the Race series. [1] [3] The NCLT Mumbai bench approved the demerger of the film division into Tips Films Limited on 3 March 2022, effective 23 March 2022. Shareholders received 1 Tips Films share for every 3 Tips Industries shares, and Tips Films listed on BSE on 6 October 2022. [5]

Legal matters
[edit]Tips' best-known case, against Airtel's streaming service Wynk, established that online music platforms cannot claim the statutory broadcast licence under Section 31D of the Copyright Act, 1957. [8]
Tips Industries v. Wynk
[edit]The dispute began in 2017 over Wynk's use of Tips' repertoire of more than 25,000 songs after licence talks broke down; Wynk called Tips' demand of about ₹4.5 crore excessive. Wynk then invoked Section 31D, which lets broadcasters use music after notice and payment of a fixed royalty, and offered 10 paise per download. [8] Tips sued for copyright infringement in the Bombay High Court. [9]
Justice S. J. Kathawalla ruled in April 2019 that Section 31D did not cover Wynk's service. [9] In October 2023 a division bench of Justices Gautam Patel and Gauri Godse upheld that view, holding that the provision applies only to traditional radio and television. The bench also rejected Wynk's public-interest argument, noting that Wynk is a paid, profit-making service. [8]
The ruling means streaming services must negotiate commercial licences with labels such as Tips, which underpins the licensing revenue described above.
