WillScot Holdings Corporation is an American business-services company providing modular space and portable storage across North America. Traded on the Nasdaq Stock Exchange under the ticker symbol WSC, the company is headquartered in Scottsdale, Arizona.[1] WillScot leases mobile offices, modular classroom and administrative complexes, portable storage containers, cold storage units,[2] restroom trailers, clearspan structures, fencing,[3] and blast-resistant modules used in construction, education, healthcare, government, retail, and industrial sectors.[4][5] The company operates a network of approximately 260 branch locations in the United States, Canada, and Mexico.[6]

Williams Mobile Offices merged with Scotsman Manufacturing Co. in 1990 to form Williams Scotsman, which re-entered public markets as WillScot Corporation in 2017 through a merger with the special-purpose acquisition company Double Eagle Acquisition Corp.[7][8] In 2020, WillScot merged with Mobile Mini, Inc., to create WillScot Mobile Mini Holdings Corp.[9] The company unified its constituent brands under the single WillScot name in July 2024 and simultaneously renamed the parent entity WillScot Holdings Corporation.[10]

History

Origins (1944-1989)

Williams Mobile Offices was founded by Albert Vaughn Williams in Baltimore, Maryland, in 1944. The company initially supplied small construction trailers that could be towed by a passenger vehicle.[11] Williams obtained the first patent for a mobile office trailer in 1954[12] and Williams Mobile Offices was formally incorporated in 1955.[13] The company introduced its first double-wide mobile office in 1965.[11]

Williams Scotsman (1990-2006)

In 1990, Williams Mobile Offices and Scotsman Manufacturing Co. merged to form Williams Scotsman, Inc., and the combined company operated from Baltimore, Maryland, and expanded its national branch network throughout the decade.[14]

Williams Scotsman expanded into Canada in 1998 through the establishment of Williams Scotsman of Canada, Inc.,[15] and entered the Mexican market in 2004.[16]

Williams Scotsman became a publicly traded company in 2005 under the ticker symbol WLSC, listing on the Nasdaq Stock Exchange.[17]

Algeco Scotsman and private ownership (2007-2016)

In 2007, Williams Scotsman merged with Algeco, a European modular space company, forming the combined entity Algeco Scotsman.[18] Williams Scotsman became a wholly owned subsidiary of Algeco Scotsman and was taken private.[19]

Re-entry into public markets and WillScot Corporation (2017-2019)

In August 2017, Double Eagle Acquisition Corp., a Nasdaq-listed special-purpose acquisition company, announced an agreement to acquire Williams Scotsman International Inc. (WSII) from Algeco Scotsman. The transaction closed on November 29, 2017, at a purchase price of approximately $1.1 billion.[20] Double Eagle changed its name to WillScot Corporation upon closing, and the company's common stock began trading on the Nasdaq under the ticker symbol WSC on November 30, 2017.[21]

In December 2017, WillScot acquired Acton Mobile, a modular space provider, followed by the acquisition of Tyson Onsite in January 2018. In June 2018, WillScot announced a definitive agreement to acquire Modular Space Holdings, Inc., the parent company of ModSpace for an enterprise value of approximately $1.1 billion.[22] The ModSpace acquisition closed on August 15, 2018, at a total purchase price of approximately $1.2 billion.[23]

Merger with Mobile Mini (2020-2024)

On March 2, 2020, WillScot Corporation and Mobile Mini, Inc. announced a definitive all-stock merger agreement to create WillScot Mobile Mini Holdings Corp.[24], with a combined enterprise value of approximately $6.6 billion.[25] The merger created WillScot Mobile Mini Holdings Corp. and closed on July 1, 2020.[26][27]

On July 29, 2024, the company announced that it would consolidate all of its constituent brands under the unified WillScot name. The parent company simultaneously changed its name from WillScot Mobile Mini Holdings Corp. to WillScot Holdings Corporation.[28]

Leadership transition (2025)

In September 2025, Tim Boswell was appointed President and Chief Executive Officer of WillScot Holdings Corporation, succeeding Brad Soultz, who had served as CEO since the company's re-listing in 2017. Boswell had previously served as the company's President and Chief Financial Officer.[29]

In June 2018, WillScot Corporation announced a definitive agreement to acquire Modular Space Holdings, Inc., the parent company of ModSpace, the largest privately held provider of office trailers, portable storage units, and modular buildings in the United States and Canada, for an enterprise value of approximately $1.1 billion.[30] The acquisition closed on August 15, 2018, at a total purchase price of approximately $1.2 billion, bringing the company's fleet to over 160,000 modular space and portable storage units across more than 120 locations in the United States, Canada, and Mexico.[31]

Merger with Mobile Mini (2020)

On March 2, 2020, WillScot Corporation and Mobile Mini, Inc. announced a definitive all-stock merger agreement to create WillScot Mobile Mini Holdings Corp. The combined company had an enterprise value of approximately $6.6 billion and projected annual cost synergies of $50 million.[32] The merger closed on July 1, 2020.[33]

Post-merger acquisitions (2021–2023)

Following the merger, WillScot Mobile Mini completed more than 20 acquisitions in 2022 alone,[34] with notable transactions including Sommer's Mobile Leasing (Ohio and West Virginia),[35] three simultaneous storage acquisitions adding approximately 11,000 units across Ohio, California, and Texas,[36] Portable Storage Corporation in greater Los Angeles,[37] blast-resistant module specialists Hallwood Modular Buildings and BRT Structures,[38] and Cold Box and A&M Cold Storage, adding approximately 3,500 climate-controlled units to establish a position in temporary cold storage.[39] Also in 2022, the company divested its Tank and Pump Solutions segment and sold its United Kingdom Storage Solutions business to Algeco for £335 million, completing the latter transaction in January 2023.[40][34]
