Allshare B.V. is a Dutch software company based in Amsterdam that develops core banking software for private banks and other financial institutions.[1] Its current core banking platform is eBankView, which succeeded the earlier BankView system.[2] The company originated in 1987 from the Dutch subsidiary of the American company Tymshare.[3]
History
[edit]Before the 2011 sale, Allshare included an HR software division known as Allshare HR Solutions. At the time, the company was based in Hoofddorp and also operated private banking and retail banking divisions. In March 2011, Dutch payroll and HR services provider ADP Nederland acquired Allshare HR Solutions. As part of the deal, 45 employees of the HR division joined ADP, along with the activities serving around forty Dutch clients. Allshare HR Solutions had developed the e-HRM product PersonnelView. ADP's Workforce product was largely based on that software, and PersonnelView was renamed ADP PersonnelView following the acquisition. Following the sale, Allshare continued to operate its private banking and retail banking divisions.[4]
In 2013, Allshare and Virtual Affairs launched an online and mobile banking platform aimed primarily at private banks. The pay-per-use platform supported payments, savings, wealth management, financial planning and customer self-service.[3]
In 2017, Centric acquired hosting and software development company Bitlibre from Allshare for an undisclosed amount. Allshare's management stated that Bitlibre no longer formed part of its core banking software activities. The transaction also included plans for cooperation between Allshare and Centric.[5]
Products and services
[edit]In 2018, BankView was described as Allshare's principal banking software product and was used by financial institutions including Van Lanschot Kempen and Theodoor Gilissen Bankiers.[6] Allshare subsequently developed eBankView as its successor.[2]
Ownership and legal proceedings
[edit]At the time the proceedings were initiated in 2017, Sapphire Investments, which was indirectly owned by Van Lanschot Kempen, held 97.25% of the relevant share capital in Allshare and could exercise the same proportion of voting rights. Van Lanschot Kempen and Theodoor Gilissen Bankiers also used Allshare's BankView software.[6]
In 2017, Sapphire Investments initiated squeeze-out proceedings to acquire the remaining minority shares in Allshare. In 2018, the Enterprise Chamber of the Amsterdam Court of Appeal ordered an independent valuation of the shares, noting that the valuation should take account of eBankView and Sapphire's relationship with Van Lanschot Kempen.[6] The proceedings continued with an expert valuation considered by the court in 2019.[7]
