Adventz Group is a diversified Indian conglomerate with businesses in fertilisers and agrochemicals, engineering and infrastructure, sugar and ethanol, real estate, furniture and financial services. The group was created in 2011 by repositioning the companies of the Zuari group and the Texmaco group — both part of the business of the industrialist Krishnakumar Birla (Dr. K. K. Birla) under a single corporate entity. It is led by Saroj Kumar Poddar, Birla's son-in-law, who serves as chairman. The group describes itself as a USD 3–4 billion enterprise and traces its origins to the founding of Texmaco Limited in 1939.[1]
History
[edit]Origins: Texmaco and Zuari (1939–1980s)
[edit]The group's engineering lineage dates to 1939, when Texmaco Limited was incorporated (founded under the leadership of the Birla family). Texmaco grew into one of India's major heavy engineering and steel foundry companies, headquartered in Kolkata.
The fertiliser side of the group began in 1967, when K. K. Birla promoted Zuari Agro Chemicals in Goa in financial and technical collaboration between the House of Birlas, Armour & Co. of Chicago, IFC and Bank of America; the Zuari fertiliser plant was commissioned in 1973. Zuari became one of India's leading producers of complex (NPK) fertilisers, marketing its products under the "Jai Kisaan" brand. In the early 1990s, Zuari promoted Chambal Fertilisers and Chemicals, which built a urea business in Madhya Pradesh and Rajasthan.[2]
Formation of Adventz (2011)
[edit]After K. K. Birla's death in 2008, his business interests were divided among the families of his three daughters. The Zuari and Texmaco companies passed to the family of his second daughter, Jyotsna Poddar, whose husband Saroj Kumar Poddar had managed much of the business. In March 2011, Poddar formally repositioned 21 companies under a unified "Adventz" banner, with a stated combined turnover of around USD 3 billion. The move was intended to create a common group identity and synergise the operations of the fertiliser, engineering, real estate and services businesses. The other branches of the family retained separate interests: the Nopany family controls the sugar and textile businesses (Oudh Sugar Mills, Upper Ganges Sugar & Industries, Sutlej Textiles), while Shobhana Bhartia chairs HT Media.
The group holding company is Zuari Industries Limited (formerly known as Zuari Global Limited), which holds significant stakes in Zuari Agro Chemicals, Texmaco Infrastructure & Holdings, Texmaco Rail & Engineering and Chambal Fertilisers & Chemicals.
Subsequent developments (2013–present)
[edit]2013–2016 — Acquisition of Mangalore Chemicals & Fertilizers (MCF): MCF, Karnataka's largest fertiliser manufacturer, had belonged to Vijay Mallya's UB Group, which had itself taken over the then-ailing, state-supported company in 1990. In April 2013, Zuari (Adventz) bought roughly 10% of MCF through the open market, triggering a takeover contest with Deepak Fertilisers & Petrochemicals, which had accumulated a 24.46% stake and made an open offer at ₹61.75 per share; Zuari responded with a higher offer (₹93.60 at one stage) and gradually raised its holding, with Zuari Fertilisers & Chemicals alone reaching 16.43%. Mallya and Poddar subsequently joined hands for joint control, and after the open offer closed in 2016, Zuari Agro Chemicals (through Zuari Fertilisers & Chemicals) emerged with about 53% of the voting share capital. MCF thus became a subsidiary of the Adventz group, with Zuari Agro Chemicals holding approximately 54%. 2016–2017: Kalindee Rail Nirman (Engineers), a rail infrastructure company, was merged into Texmaco Rail & Engineering. Texmaco also acquired railway electrification company Bright Power Projects. 2022: Paradeep Phosphates was listed on the BSE and NSE following a public offer in which the Government of India partly divested its stake. 2023: Zuari Industries set up a bioenergy joint venture with the Envien group of Slovakia. 2024: Texmaco Rail & Engineering acquired Jindal Rail Infrastructure (Vadodara), renamed Texmaco West Rail, and Saira Asia Interiors. Gobind Sugar Mills and Zuari Sugar & Power were merged into Zuari Industries. 2025: Texmaco Rail & Engineering raised its annual wagon production capacity to roughly 15,000 units and announced global partnerships with Nevomo (Europe) and Trinity Rail (USA). In October 2025, Mangalore Chemicals & Fertilizers was amalgamated into Paradeep Phosphates under a composite scheme of arrangement, and MCF was delisted. Zuari Agro Chemicals also sold its granulated single super phosphate plant at Mahad, Maharashtra to MCF for ₹72.25 crore on a slump-sale basis.
Businesses
[edit]The group organises its activities into four main verticals:
- Agriculture: Adventz describes itself as one of India's largest fertiliser conglomerates. Zuari Agro Chemicals operates an integrated fertiliser plant at Zuarinagar, Goa, with an annual installed capacity of about 1.4 million tonnes, and sells under the Jai Kisaan brand. Paradeep Phosphates produces DAP and other phosphatic fertilisers at Paradeep, Odisha (about 1.2 million tonnes annual capacity), marketed under the Navratna–Jai Kisaan brands; until its 2025 merger it was majority-held through the joint venture Zuari Maroc Phosphates, in which Morocco's OCP group is the partner. Mangalore Chemicals & Fertilizers, the largest fertiliser manufacturer in Karnataka, produced urea, DAP and specialty fertilisers under the Mangala–Jai Kisaan brands. Chambal Fertilisers, promoted by Zuari in the early 1990s, remains an associate controlled jointly by the three branches of the K. K. Birla family. The group also operates agri-retail hubs called Jai Kisaan Junctions.
- Engineering and infrastructure: Texmaco Rail & Engineering, formed by the demerger of the heavy engineering and steel foundry divisions of the erstwhile Texmaco Limited, is described as India's largest private-sector manufacturer of freight wagons and a supplier of hydro-mechanical equipment, EMU and metro coach components, steel castings and rail components. Its subsidiary Bright Power Projects executes railway electrification. Simon India provides technical consultancy, project management and contracting services for chemical, fertiliser, oil and gas, petrochemical and power projects. Texmaco Infrastructure & Holdings holds the group's hydro-electric and real estate interests.
- Sugar, ethanol and real estate: Zuari Industries operates a Sugar, Power & Ethanol division, chiefly through the legacy of Gobind Sugar Mills (established 1952; Aira Estate, Lakhimpur Kheri district, Uttar Pradesh, with a cane-crushing capacity of 10,000 tonnes per day), co-generation power and an ethanol plant. Its real estate arm, Zuari Infraworld, develops residential property in Goa and other locations.
- Services: The group's services interests include Zuari Finserv, Zuari Insurance Brokers, Zuari Management Services, Adventz Finance (a non-banking finance company and promoter entity), and Lionel India, a corporate travel management company. Zuari Indian Oiltanking (later Zuari IndianOil Adani Ventures) provides petroleum products terminalling.
Joint ventures and partnerships

- Zuari Maroc Phosphates — joint venture with OCP of Morocco, historically the holding company for Paradeep Phosphates.
- Hettich India — furniture fittings joint venture with the Hettich Group of Germany.
- Texmaco UGL Rail — former joint venture with the United Group of Australia.
- MCA Phosphates — joint venture with Mitsubishi Corporation, Japan.
- Touax Texmaco Rail Car Leasing — railcar leasing venture with Touax Rail of France.
- Wabtec Texmaco Rail — freight and friction products venture with Wabtec Corporation of the United States.
- Zuari Envien Bioenergy — bioenergy venture with the Envien group of Slovakia.[3]
Technical collaborations with Kawasaki (EMU/metro coaches), Hitachi (signalling and telecommunications for the Eastern Dedicated Freight Corridor), and Nevomo and Trinity Rail (2025).
